Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Mangrove Digital Media("EstiClose," "we," "our," or "us"). By accessing or using the EstiClose website ( esticlose.com), the estimator ( estimator.esticlose.com), the EstiClose app, or any related service (collectively, the "Service"), you agree to these Terms.

If you do not agree, do not use the Service. You must be at least eighteen (18) years old and authorized to enter contracts on behalf of yourself or your business to use the Service.

2. Description of the Service

EstiClose is a software-as-a-service platform that helps service contractors generate branded customer estimates that include AI-rendered "after" photos, share those estimates with prospective customers, and accept bookings. The Service is offered in tiers:

  • Tier 1 — Standalone. Branded estimate pages with no third-party integrations.
  • Tier 2 — Integrated (GHL). Full automation with GoHighLevel pipeline integration, after-hours Auto-Pilot, and 5-touch follow-up.

We may add, modify, or remove features over time at our discretion.

3. Accounts

To use most features you must create an account. You agree to provide accurate information, keep your password confidential, notify us promptly of any unauthorized access, and accept responsibility for activity under your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are involved in fraud or abuse.

4. Subscription, billing, and refunds

EstiClose is offered on a monthly subscription basis. By starting a subscription you authorize EstiClose (through our payment processor, Stripe) to charge your payment method on a recurring basis.

Billing. Subscriptions renew monthly until canceled. Prices are listed at esticlose.com and may change with at least thirty (30) days' notice for existing subscribers.

Usage-based charges. Tier 2 may include usage-based overage charges. Overage rates are disclosed in your account settings.

Cancellation. You can cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. We do not pro-rate partial-month refunds.

Refunds. Refunds are not provided for partial months, unused features, or accounts terminated for violation of these Terms. We may, at our discretion, issue refunds in cases of clear billing error.

Failed payments. If a payment fails, your account may be downgraded to read-only access until resolved. After thirty (30) days of failed payment, the account may be suspended or terminated.

5. Your content and data

You retain all rights to content you upload ("Your Content"). You grant EstiClose a limited, worldwide, non-exclusive, royalty-free license to use Your Content solely to operate and provide the Service to you — to generate the AI after-photo, render the customer-facing estimate, deliver SMS or email on your behalf, store the data, and provide support.

We will not use Your Content to train third-party machine-learning models or to market to your customers, and we will not sell Your Content. Aggregate, anonymized usage data may be used to improve the Service and to publish industry benchmarks that cannot be traced back to your business.

6. Customer data and your obligations

When you use EstiClose to send an estimate to a homeowner, you act as the controller of that homeowner's personal information. EstiClose acts as the processor. You agree to have a lawful basis for collecting customer information, disclose your data practices to your customers including SMS messaging, honor your customers' privacy rights and opt-out requests, and comply with all applicable laws including the TCPA, CAN-SPAM, and state privacy laws.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose.
  • Send unsolicited bulk SMS, "spam," or messages that violate carrier policies or the TCPA.
  • Misrepresent AI-generated after-photos as actual photographs of completed work. The Service generates predicted renders that must be presented to customers as predictions.
  • Impersonate any person or business, or upload content that infringes another party's rights.
  • Reverse-engineer, decompile, scrape, or circumvent the Service.
  • Resell, sublicense, or share access to the Service without our written permission.
  • Attack, probe, or interfere with the Service or other users' accounts.

8. SMS and email messaging

If you enable SMS or email through EstiClose, you authorize us to send messages on your behalf to the customers you submit. You are responsible for ensuring you have express written consent from each customer and for honoring opt-outs immediately. EstiClose surfaces STOP/HELP keyword handling automatically; you must not interfere with carrier-required opt-out flows. You acknowledge that wireless carriers and email providers may delay or block messages and that EstiClose is not liable for non-delivery.

9. Intellectual property

The Service — including the software, brand, designs, copy, illustrations, and documentation — is owned by Mangrove Digital Media and protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service strictly to operate your business in accordance with these Terms. You may not remove or alter EstiClose's notices, branding, or trademarks except where the Service provides explicit white-label features. Feedback you provide may be used by EstiClose without obligation or compensation.

10. Third-party services

The Service integrates with third-party services including Google (Gemini image generation), Stripe (payments), Twilio (SMS), and GoHighLevel (CRM). Your use of those services is also governed by the third party's own terms and privacy practices.

11. AI-generated content disclaimer

EstiClose uses generative AI to produce predicted "after" photos based on before-photos you upload. These renders are predictions, not photographs of finished work. We make no warranty that any particular render will match the actual completed job exactly. You agree to present after-photos to customers as renders/previews, not as completed work; use your professional judgment when setting customer expectations; and not use the Service to deceive customers about the appearance of the work you'll perform.

12. Service availability and beta features

We aim for high availability but do not guarantee uninterrupted access. Features labeled "beta," "preview," or "early access" are provided as-is, may change or be removed, and may not be covered by support SLAs.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ESTICLOSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE COMPLETELY SECURE OR ACCURATE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ESTICLOSE, MANGROVE DIGITAL MEDIA, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ESTICLOSE'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ESTICLOSE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to defend, indemnify, and hold harmless EstiClose and Mangrove Digital Media from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, your violation of these Terms, your violation of any law or third-party right (including TCPA, CAN-SPAM, or state privacy laws), or your acts or omissions in providing services to your own customers.

16. Termination

You may terminate at any time by canceling your subscription. We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or for any conduct that we, in our sole discretion, believe is harmful. On termination, your right to access the Service ends. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will survive.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, U.S.A., without regard to conflict-of-laws principles. You and EstiClose agree that any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Collier County, Florida, and you consent to the personal jurisdiction of those courts.

18. Changes to the Service or these Terms

We may update these Terms at any time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated by email or in-product notice at least thirty (30) days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.

19. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and EstiClose regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale of assets, or similar transaction.
